This Registration Statement on Form 8-A is being filed by Amerant Bancorp Inc. (the “Company”), a Florida corporation, with the Securities and Exchange Commission (the “Commission”) in connection with the registration of its common stock, par value $.10 per share (the “Common Stock”), under Section 12(b) of the Securities Exchange Act of 1934 (the “Exchange Act”), and the transfer of the listing of Common Stock from the Nasdaq Stock Market LLC to the New York Stock Exchange, where it will continue to trade under the stock symbol “AMTB”.

No exhibits are required to be filed because no other securities of the registrant are registered on the New York Stock Exchange and the securities hereby are not being registered pursuant to Section 12(g) of the Exchange Act.
